About the Webinar:

We will discuss several commonly used contracts and how parties might seek to suspend or avoid their obligations thereunder by utilizing FM provisions or frustration of purpose defenses, and on the flip side, how counterparties can try to defeat those claims. The contracts to be examined may include the AAPL model form JOA, IADC Daywork Drilling Contract; oil, gas & mineral leases; gathering agreements; and farmout or development agreements (used in drillco transactions).

  About the Presenters:

Jorge Gutierrez is a partner located in the Dallas office of Reed Smith. Jorge is an oil and gas attorney who represents private and public exploration and production and midstream companies throughout the United States. He is certified in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization. As a partner in the firm’s Energy and Natural Resources group, Jorge advises companies on the acquisition and divestiture of oil and gas properties and midstream assets, general business operations, and bank financings, and works with restructuring consultants and clients in bankruptcy or other complex financial situations.

Lucas Liben is a partner in the oil & gas team of Reed Smith’s Energy and Natural Resources group, located in the Pittsburgh office. Luke has spent nearly a decade representing energy industry clients litigating a variety of cases involving all aspects of the development of the Marcellus and Utica shales. Luke handles complex contractual disputes, including cases involving drilling contracts, joint operating agreements, and other industry specific relationships.

Recognizing that these COVID-19 related modifications have made compliance with environmental regulatory and settlement-related obligations more challenging, or in some cases impossible, the U.S. Environmental Protection Agency and certain States have issued policies to address environmental compliance during the COVID-19 crisis. This presentation will cover key components of the EPA and select state (PA, OH, WV) policies, and will address important considerations for developing environmental compliance strategies during the ongoing pandemic.

About the Presenters:

Sean McGovern is a shareholder in the Environmental Services and the Energy & Natural Resources groups of Babst Calland. Mr. McGovern’s practice involves counseling clients on a variety of federal and state regulatory issues related to coal mining, as well as conventional, coal bed methane, Marcellus, Utica and other unconventional shale gas well development, production, midstream activities, storage and transportation in the Appalachian Basin.

Ben Clapp is an associate in the Environmental, Energy and Natural Resources, and Emerging Technologies groups of Babst Calland who advises clients on the environmental components of complex transactions, including identifying and analyzing significant environmental liability and compliance issues arising in connection with mergers and acquisitions, asset sales, securities offerings, project financings, and corporate restructurings.

Gary Steinbauer is an associate in the Environmental Group of Babst Calland. Mr. Steinbauer leverages his experience as a former lawyer for the U.S. EPA to help clients on a wide variety of matters arising under major federal and state environmental and regulatory programs.
